Terms of Service

Please read these Standard Terms of Use (“Terms”) carefully. These Terms form a legally binding agreement between you and Tinyspark, LLC (“Tinyspark,” “we,” or “us”). By clicking “I Accept,” using Tinyspark (the “Service”), or signing up for an account, you expressly acknowledge that you have read, understood, and agree to be bound by these Terms.

Tinyspark offers a mobile and web platform that allows you to create, publish, and manage interactive content for your audience, track engagement, and connect to email platforms such as Mailchimp and Klaviyo, and eCommerce systems like Shopify. Fans (also called Contacts) interact with your published content through the Tinyspark mobile and web platform.

Throughout these Terms, the phrase “Content” refers to any text, materials, documents, images, graphics, logos, design, audio, video, or any other information uploaded to, downloaded from, visible on, or otherwise provided or obtained from our website or mobile app. Some Content is available only to authorized, paid subscribers. While the following Terms apply to all visitors and users of our Services, Article II expressly governs authorized, paid subscribers of Tinyspark’s services.

I. Account

1. Eligibility

To use the Service, you must:

Be at least 18 years old and able to enter into contracts;
Complete the account registration process;
Agree to these Terms and the other applicable documents incorporated by reference;
Provide true, complete, and up-to-date contact and billing information;
Not be based in embargoed or sanctioned regions or listed on any prohibited entity list.

2. Term

The agreement begins when you sign up and continues until either party terminates. You may terminate by closing your account (see “Closing Your Account” below). Please note that certain obligations survive any termination of your account or this agreement.

3. Closing Your Account

You or Tinyspark may terminate this agreement at any time. You may terminate this agreement only by terminating your account. To terminate your account, please log into your account profile and select “delete account.”

If you elect to terminate or delete your account, all access to the Service will be immediately suspended for thirty (30) days. During this period, you may elect to restore your account and your information will be reinstated. After thirty (30) days, your account may be permanently deleted and you may not be able to restore your information and data.

Tinyspark has the right to suspend or terminate accounts immediately and without refund for violating these Terms or if we reasonably believe you have violated Applicable Laws. You remain responsible for all outstanding charges after termination. See “Billing and Payment” below for more information.

4. Changes

We may change these Terms by posting updated versions. Continued use of the Service indicates your acceptance.

5. Account Registration and Password

To receive any Tinyspark Services, you must create an account (a “Fan Account”) by downloading the Tinyspark mobile app and clicking “create account.” To create an account, you must provide Tinyspark (and in some cases, Tinyspark’s authorized third-party billing partner(s)) with certain account-specific information to authenticate, protect, and use the account and any related Services. The Fan Account must include a unique user identification name (“User ID”), valid email address, and password. If you purchase any paid Services, you also will be required to authenticate yourself for billing purposes by providing your name, mailing address, valid email address, payment method, and such other information required to process payment. You may not use another person’s Fan Account or User ID without Tinyspark’s written permission.

You are solely responsible for maintaining the confidentiality of your Fan Account and related account credentials. You may not share your User ID or password with any third-party, or allow a third-party to use your Fan Account. You must notify us immediately at support@lovetinyspark.com if you suspect any unauthorized access or security breach regarding your Fan Account. Failure to maintain account security or promptly report security incidents may result in liability to you for any resulting damage. While we use encryption technologies and other reasonable precautions to protect your confidential information and provide suitable security for your Fan Account, User ID, and related billing and payment information, we do not and cannot guarantee that all information transmitted through the Internet is secure, or that such transmissions are free from delay, error, interception or interruption.

By accessing or using the Tinyspark website, mobile app, or our Services, you affirm that you are more than 18 years of age and fully able and competent to enter into the conditions, obligations, affirmations, representations, and warranties set forth in these Terms, and you agree to abide by and comply with these Terms. THE SITE IS NOT INTENDED FOR CHILDREN UNDER 13 AND THIS SITE SHOULD NOT BE USED BY ANY CHILDREN UNDER 13 WHO ARE UNACCOMPANIED BY A PARENT OR LEGAL GUARDIAN. In accessing the website, mobile app, or the Services, Tinyspark does not warrant or represent that: (a) any Content available for viewing is accurate, complete, or current; (b) the Content is free from technical inaccuracies, typographical inaccuracies, or other errors; (c) the Content does not infringe on the intellectual property rights of any third-party; (d) the Content is free from changes caused by a third-party; or (e) your access will be free from interruptions, errors, computer viruses or other harmful components. Your use of the website, mobile app, and all Services are subject to applicable federal, state, and international laws and regulations (“Applicable Law”). Tinyspark may, at any time and without further notice, make changes to the website, mobile app, the Terms, or to the Services described in these Terms.

If Tinyspark has reasonable grounds to suspect that any of these requirements have not been met or that you have not complied with these Terms, then Tinyspark has the right to suspend or terminate your Fan Account and refuse any and all current or future use of your Fan Account.

6. Account Disputes

We decide account ownership based on the contact details and Content associated with the account. We may suspend access during disputes.

II. Service and Payment Terms

1. Service Categories

Tinyspark provides four separate Service categories, as follows:

Fan Account (Free). Allows you to view and interact with the website and mobile app, and follow brand accounts that you enjoy.
Brand Starter (Free). Allows you to designate, interact with, and provide Content for up to 500 fans. Additional benefits and features will be indicated on the Brand Starter login page at the time of upgrade.
Brand Builder (Paid). Allows you to designate, interact with, and provide Content for up to 10,000 fans. Additional Services, benefits, and features provided by Tinyspark will be indicated on the Brand Builder login page at the time of upgrade.
Brand Leader (Paid). Allows you to designate, interact with, and provide Content for an unlimited number of fans. Additional Services, benefits, and features provided by Tinyspark will be indicated on the Brand Leader login page at the time of upgrade.

2. Billing and Payment

Fan Account and Brand Starter Account. The Fan Account and Brand Starter Account are free. No payment terms apply.
Brand Builder Account. If you select the Brand Builder account, you will be required to pay a monthly fee equal to $12.00 per month, plus [$0.00 for each Fan over 10,000 Fans, determined monthly]. All fees are payable monthly in advance for the Services. The Services will renew automatically unless you cancel and terminate your account (see “Cancellation by You” below).
Brand Leader Account. If you select the Brand Leader account, you will be required to pay a monthly fee equal to $14.00 per month, plus [$0.00 for each Fan over X Fans, determined monthly]. All fees are payable monthly in advance for the Services. The Services will renew automatically unless you cancel and terminate your account (see “Cancellation by You” below).
Cancellation by You. To cancel any Service, you must email Tinyspark at support@lovetinyspark.com at least ten (10) days prior to the next applicable payment date for the Service. If you cancel a month-to-month Service at least ten (10) days in advance, your Service will end on the last day of the month in which you provided notice of cancellation. If you do not provide at least ten (10) days advance notice, you will be billed for an additional month and your cancellation will be effective the last day of the month following the month in which your cancellation notice was received. If you cancel an annual Service during the initial 12-month term, the Service will be deemed cancelled on the last day of the term and Tinyspark will retain the entire fee for the annual term. If you cancel an annual Service after such service has automatically renewed, the cancellation will be effective on the last day of the month in which such cancellation notice is received, and Tinyspark will refund a pro-rated portion of the annual Service fee based on the remaining, unused portion of Service term. For example, if the annual Service automatically renews on August 1, and you provide notice of cancellation on August 15, Tinyspark will retain 1/12 of the annual fee (for the month of August) and refund 11/12 of the annual fee to the associated Fan Account. All pro-rated refunds for an annual Service will be payable within sixty (60) days after receipt of cancellation notice.
Termination by Tinyspark. Tinyspark reserves the right to terminate your use of the Service at any time and for any reason, including without limitation violation of these Terms, failure to timely pay applicable fees, Brand account inactivity, or Fan Account inactivity, without notice to you. If Tinyspark terminates your account for failure to pay applicable fees or any other violation of these Terms, you will forfeit any and all fees paid for the Subscription Service. For all other terminations by Tinyspark, Tinyspark may retain all fees paid through the end of the month in which such termination occurred.
Third-Party Payment Processing. Tinyspark uses a third-party payment processing service to authorize and collect payments for your paid Services. Upon requesting access to the applicable Service, Tinyspark will provide you with a link or other reference page to Tinyspark’s authorized third-party payment processing service. All authorization and processing of your payment will be subject to the terms, conditions, and privacy policies of the payment processor. Tinyspark does not control or cannot be held liable for the security or performance of any third-party payment processor. You are solely responsible for updating your payment method and information.
Authentication of Account. You authorize Tinyspark to rely on your User ID and password to identify you when using the Services, and as signature authorization for any payment made using the paid Services. You acknowledge and agree that you are responsible for all payments for the paid Services and for paying all late charges or penalties. You also acknowledge and agree that if you permit another person or persons to access or use your Fan Account or give them your User ID and/or password, you are responsible for any payment that such person incurs while using your Fan Account, even if the person exceeds your authorization.

3. Changes in Pricing.

Tinyspark reserves the right to update or change its pricing (including the right to offer promotional deals to new users). All pricing will be indicated on the applicable Pricing page at the time of initial selection or upgrade. For existing accounts, all updates or changes to pricing will be applied prospectively only, and you will be given at least thirty (30) days’ notice prior to any changes in pricing (such notice to be provided via your designated email address and via notification within the platform). During the thirty (30) day notice period you will have the opportunity to cancel the Services at no additional charge prior to any change in pricing. Tinyspark does not offer refunds unless required by Applicable Law or expressly stated in these Terms.

III. Rights

1. Content Ownership and License

You own the Content you create. By using the Service, you grant Tinyspark a perpetual, royalty free, worldwide license to display, distribute, modify, and use your Content to operate and improve the Service. This includes both brand-created Content and user reactions or comments.

You are responsible for maintaining copies of any Content you create. If your Fan Account, User ID, or any other account is suspended, cancelled, terminated, or deleted, all Content may be deleted. Tinyspark does not have any obligation to restore or provide you with a copy of Content you post to the Tinyspark platform.

2. Feedback

If you submit feedback or suggestions, we may use them without compensation or obligation to you.

3. Integrations

If you enable an integration with a third-party service (e.g., an email platform such as Mailchimp), you: (i) authorize Tinyspark to exchange data necessary to provide the integration; (ii) acknowledge that you are solely responsible for compliance with any third-party terms of service; and (iii) agree that Tinyspark is not responsible for the privacy, security, availability, or integrity of third-party services and expressly disclaims any liability associated with such use. You agree to indemnify Tinyspark for any claims arising from your use of third-party integrations. For more information, see “Indemnification” below.

IV. Rules and Abuse

1. Prohibited Activities

When using the Tinyspark website, mobile app, or any Service, you will not:

Send spam or unauthorized marketing;
Use purchased or third-party lists;
Post or distribute racist, abusive, hateful, violent, discriminatory, harassing, or sexually explicit or pornographic Content;
Violate the intellectual property rights or other proprietary rights of any third-party;
Misrepresent your identity;
Harvest or otherwise collect personal information about other Fans or Contacts, including their email address or other personally identifying information, without that Fan’s or Contact’s consent;
Insert or attempt to insert programs that contain harmful viruses, malware, phishing, or spying software, or any other software or program designed to disrupt to the website, mobile app, or Services, or obtain information to which you are not entitled;
Insert hyperlinks to other websites that contain Content that would otherwise violate this section;
Use the Service for any unlawful or immoral activity; or
Abuse or disrupt the platform or infrastructure in any other manner.

We reserve the right to suspend or terminate accounts that violate these rules.

2. Reporting Abuse

Report violations to support@lovetinyspark.com. We review flagged Content and take action if appropriate.

3. Bandwidth and Hosting

You may only host Content that is directly related to your use of the Service. Content must comply with these Terms and all Applicable Laws. We reserve the right to remove or disable access to any Content that violates these requirements or exceeds reasonable bandwidth usage limits as determined by us.

4. Legal Compliance

You agree to comply with all Applicable Laws in connection with your use of the Service. This includes, but is not limited to, all privacy, marketing, consumer protection, and data security laws. You must obtain consent from your Fans or Contacts where required.

V. Liability

1. Limitation of Liability

To the maximum extent permitted by law, Tinyspark and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service. In no event shall our total liability exceed the greater of $100 or the amount you have paid us in the twelve months preceding the incident giving rise to a claim under these Terms.

2. No Warranties

The Service is provided “as-is.” We disclaim all warranties, express or implied.

3. Indemnification

You agree to indemnify and hold Tinyspark harmless from claims, costs, damages, or expenses related to your use of the Service, your Content, or your violation of these Terms.

4. Force Majeure

We are not responsible for failure or delay resulting from conditions beyond our reasonable control, including but not limited to natural disasters, wars, terrorism, internet outages, or labor strikes.

5. Third Party Content

Tinyspark may provide hyperlinks to other websites maintained by third-parties, or may provide third-party Content on our website or mobile app by framing or other methods.

LINKS TO THIRD-PARTY SITES ARE PROVIDED FOR YOUR CONVENIENCE AND INFORMATION ONLY. THE CONTENT ON ANY LINKED SITE IS NOT UNDER TINYSPARK’S CONTROL AND TINYSPARK IS NOT RESPONSIBLE FOR THE CONTENT OF LINKED SITES, INCLUDING ANY FURTHER LINKS CONTAINED IN A THIRD-PARTY SITE. IF YOU DECIDE TO ACCESS ANY OF THE THIRD-PARTY SITES LINKED TO THE SITE, YOU DO SO ENTIRELY AT YOUR OWN RISK.

VI. Disputes

1. Governing Law

This Agreement is governed by the laws of the State of Georgia, excluding its conflict of law provisions, and the Federal Arbitration Act.

2. Dispute Resolution

If a dispute should arise, Tinyspark may seek to resolve the dispute with you through its customer care team, or directly via the communication methods approved for your Fan Account. If the dispute cannot be resolved through one of these methods within thirty (30) day, then such dispute will be resolved by binding arbitration in Atlanta, Fulton County, Georgia, upon the request of Tinyspark or you (unless otherwise required by law). You expressly waive any right to a trial by jury.

In accordance with these Terms, you also agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action. You hereby waive any right to bring or participate in any class action, or to consolidate or combine individual proceedings to form a class or representative action, with respect to all claims arising out of or related to these Terms or your use of the Service.

VII. Beta Features

We may release new features as beta versions before their general availability. These Beta Features may be incomplete or change over time. You use Beta Features at your own risk. Tinyspark may discontinue Beta Features at any time without notice.

VIII. Generative AI Features

Tinyspark may offer AI-assisted Content suggestions, performance insights, or recommendations. You are responsible for reviewing any AI-generated Content for accuracy, legality, and appropriateness. Tinyspark disclaims any liability for errors or harm resulting from AI features. By using these features, you acknowledge that the data you submit may be used to train and improve AI models. Tinyspark does not claim ownership of any AI-generated Content produced through your use of the Service; however, you grant Tinyspark a non-exclusive, perpetual, royalty-free license to use, modify, and distribute such AI-generated Content for the purpose of improving our Services. You are solely responsible for ensuring that your use of AI-generated Content complies with Applicable Laws, and Tinyspark disclaims any liability related to the accuracy, legality, or appropriateness of AI-generated Content.

IX. Miscellaneous Legal Provisions

1. Entire Agreement; Amendment.

These Terms constitute the entire agreement between Tinyspark and you with respect to your use of the Tinyspark website, mobile app, and Services. The Terms supersede any and all prior communications and agreements between you and Tinyspark with respect to the website, mobile app, and the Services.

2. Assignment

You may not assign this agreement without our consent. Tinyspark may assign this agreement as part of a corporate restructuring, acquisition, or sale.

3. Survivability

Sections related to intellectual property, indemnity, limitations of liability, and dispute resolution survive termination.

4. Severability

If any provision of these Terms is held unenforceable, the remainder will remain in effect.

5. No Waiver

Failure to enforce any part of the Terms is not a waiver of our right to do so later.
